Wildman Harrold’s Tax Practice provides our clients with economic and responsive tax advice and planning in a wide variety of areas, including:

Private Equity Transactions - We regularly advise private equity funds in connection with sophisticated tax issues arising out of fund formation and operations. We work closely with our Corporate Practice with the myriad of tax issues that arise in our clients’ acquisitions and dispositions of investments and portfolio companies, focusing on maximizing the tax benefits to our clients and all the parties involved. Frequently, we have negotiated increases in payments to our clients for tax benefits derived from the deal structure by the other parties involved in these deals.

Corporate Restructuring and Debt Restructuring-We represent numerous corporations in a variety of corporate transactions, from mergers, joint ventures, and other acquisitions to divestitures of subsidiary corporations and lines of business. We have also given advice on the tax implications of various debt restructuring and debt workout transactions. Our attorneys are also regularly retained by outside counsel and other professionals to advise their clients on corporate M&A transactions.

Real Estate - Wildman Harrold’s Real Estate Practice and Tax Practice work closely together to represent the firm’s real estate clients on a variety of tax issues arising out of real estate activities. For example, we advise on tax issues relating to REIT and SubREIT transactions and requirements, tax-free exchanges, securing tax credits in real estate transactions, and tax issues to foreign investors acquiring and disposing of U.S. real property.

Tax Credits - Wildman Harrold's Tax Credit Practice has extensive experience counseling investors, lenders, borrowers and community development entities on tax credit programs including new market tax credits, historic rehabilitation tax credits, low-income housing tax credits and energy tax credits. Our attorneys regularly lecture on these topics and work with federal and state lawmakers with respect to proposed legislation.

Tax Exempt Organizations and Investments-We represent a number of exempt organizations on issues relating to investments, operations, and maintaining exempt status, including advising on issues of unrelated business income tax, leveraged investments and dispositions, and investments in pass-through entities, all with an eye toward ensuring that the exempt organization’s status will not be jeopardized.

Internal Revenue Service and State Department of Revenue Practice-Our Tax Practice represents taxpayers at every level of tax controversy, from representing clients seeking private rulings from the IRS and various state Departments of Revenue, to assisting clients in tax controversies before these government agencies, with a focus on an economical and quick resolution in favor of the taxpayer.

State Taxation - State Departments of Revenue have been increasingly aggressive in seeking to reach beyond their borders to collect taxes, and our tax attorneys represent clients in all states, adopting structures that limit the exposure of our clients to these state taxes. We have advised our clients on sales and use tax obligations as well as income and unclaimed property issues, working closely with our clients to not only limit their tax exposure, but also the administrative burden of operating a multi-state business.
